END USER LICENSE AGREEMENT (EULA)

Effective Date: May 7, 2026

1. Agreement Parties

This agreement is made between you ("User") and Efimov Audio ("Company"). By registering on the website or purchasing any product, you agree to the terms outlined in this agreement.

2. License Grant

2.1. All Efimov Audio products are licensed, not sold. You receive a non-exclusive, non-transferable right to use them.

2.2. Installation is allowed on:

Up to 3 computers, provided they are owned and used exclusively by the same individual User (when using Kontakt Full).

1 computer (when using Kontakt Player).

2.3. You are prohibited from:

Transferring, selling, renting, sublicensing, or sharing the products;

Distributing or using samples in isolated form;

Including samples in other libraries, instruments, or plugins;

Uploading samples to torrents, cloud services, or similar.

2.4. AI and Machine Learning Restrictions:

Dataset Prohibition: You are strictly prohibited from using any audio materials, samples, metadata, or graphical elements of Efimov Audio products to create, train, fine-tune, or test any machine learning models, neural networks, or generative AI systems.

Deconstruction & Analysis: You may not use AI-based source separation, feature extraction, or sound analysis technologies to isolate timbre characteristics or articulations for the purpose of digital imitation or cloning.

Synthetic Derivative Creation: The creation of any derivative software instruments, neural synthesis models, or algorithms that replicate the sonic signature of Efimov Audio products using the original content as a reference is strictly forbidden.

3. Commercial Use

3.1. You may use the sounds and samples in films, TV, commercials, theater, musicals, video games, streaming, podcasts, NFTs, metaverse projects, and other commercial or non-commercial works, provided the sounds are not extractable in isolated form.

3.2. You are allowed to use your created works on any media, in any country, without limitations in time or additional royalties or payments to Efimov Audio.

4. Payment and Delivery

4.1. Payments are processed via 2Checkout and FastSpring.

4.2. After payment, you will receive:

a download link via email,
permanent access in your account.

Physical (boxed) versions are not provided.

5. Refund Policy

5.1. All sales are final. Efimov Audio products are non-tangible, digital goods that cannot be "returned." Therefore, refunds are not provided under any circumstances, including but not limited to:

Mistaken product choice: Accidental purchase or buying the wrong version;

System incompatibility: Failure to meet minimum hardware or software requirements (e.g., using Kontakt Player instead of the required Kontakt Full version);

Technical issues: Local installation problems or conflicts with third-party software/OS on the User's side;

Subjective dissatisfaction: Personal dislike of the sound characteristics, features, or overall quality.

5.2. By completing a purchase, the User acknowledges that they have listened to the available demos, read the technical specifications, and understood the non-refundable nature of the digital license.

6. Privacy and Security

6.1. We collect only necessary personal data for processing your orders and communications.

6.2. Our website uses cookies.

6.3. All transmitted data is protected by SSL and other encryption technologies. You are responsible for keeping your login credentials secure.

7. Term

This agreement takes effect upon registration or purchase and remains valid indefinitely. If you violate any terms, your license is revoked and you must delete all copies of the product.

8. Limited Warranty

8.1. The Company guarantees that the product files are technically functional and will operate as intended when used in strict accordance with the specified system requirements.

8.2. In the event of a confirmed technical defect not caused by User modification, the Company will provide functional replacement files within 30 calendar days of being notified.

8.3. This warranty does not cover:

Files modified or altered by the User;

Incompatibility with outdated operating systems, hosts (DAW), or third-party software;

Technical failures caused by improper installation or hardware malfunctions on the User's side.

9. Disclaimer of Additional Warranties

9.1. Products are provided on an “as is” and “as available” basis.

9.2. To the maximum extent permitted by law, the Company disclaims all other warranties, express or implied, including but not limited to:

The product’s fitness for a particular musical purpose or creative task;

The guarantee that the software will be entirely free from minor bugs or interruptions;

Compatibility with future hardware or software updates released after the product's effective date.

9.3. The User assumes all responsibility for choosing the product to achieve their intended results.

10. Limitation of Liability

10.1. Efimov Audio shall not be liable for:

indirect, incidental, or consequential damages;
loss of profits, work disruption, or data loss;
inability to use the product due to third-party factors.

10.2. Our total liability shall not exceed the amount paid for the product license.

11. Issue Resolution

11.1. All concerns are to be resolved through dialogue and good faith communication.

11.2. Users agree to contact us first via support@efimovaudio.com.

11.3. We aim to respond within 10 business days and provide a reasonable resolution.

12. Updates and Support

12.1. We may release updates, bug fixes, or improvements at our discretion.

12.2. Free updates are not guaranteed unless explicitly stated.

12.3. Technical support is provided via email.

13. Changes to Terms

13.1. Efimov Audio may update this agreement.

13.2. Continued use of the product after any changes constitutes acceptance of the updated version.

14. Intellectual Property

14.1. All sounds, visuals, names, and technical content remain the intellectual property of Efimov Audio.

14.2. The license grants usage rights only — not ownership.

15. Force Majeure

15.1. We are not liable for failures caused by force majeure events, including:

internet outages, server disruptions, payment system failures,
natural disasters,
legal or regulatory restrictions.

16. Severability

16.1. If any provision is found unenforceable, the remainder of the agreement remains valid.

16.2. Such provision shall be replaced with one that is valid and closest in intent.
